These terms and conditions outline the rules and regulations for the use of Social Proof Online's Website.
Terms and Conditions
Please read these Terms and Conditions ("Terms", "Terms and Conditions") thoroughly before using SocialProof.Online (the "Service") or (the "Software") operated by Graphiker Pty Ltd., an Australian Company, the provider of SocialProof.Online ("us", "we", or "our"). Your access to and use of the platform and Software is subject to your acceptance of and compliance with these Terms. These Terms apply to all visitors, users and others who access or use the Software. By accessing or using the Software you agree to be in compliance with these Terms. If you disagree with any part of the Terms and Conditions, then you may not access the Service or Software.
Accounts
When you register an account with us, you must supply us with information that is accurate, complete, and up to date at all times. Failure to do so represents a breach of the Terms, which may result in immediate termination of your account on our Service. You are at all times responsible for safeguarding the password that you use to login to the. You agree not to disclose your password to any third party. You must inform us immediately upon becoming aware of any breach of security or unauthorised use of your account.
Cancellation
We may cancel or pause access to our Software immediately, without previous notice for any reason whatsoever, including without limitation if you fail to abide by the Terms. Upon cancellation, your right to use the Software will immediately stop. If you wish to cancel your account, you may simply discontinue using the Software. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.
Subscription, Free Trials, Billing and Cancellation
Subscription
Your SocialProof.Online subscription, which may start with a free or discounted trial, will continue month-to-month or year-to-year unless and until you stop or suspend your subscription, or we cancel it. You need to have Internet access and provide us with a current, valid, accepted method of payment (as such may be updated from time to time, "Payment Method") to use the SocialProof.Online subscription software. We will bill the monthly or annual subscription fee to your registered Payment Method. You must cancel your subscription prior to it renewing each month in order to avoid billing of the next month's subscription fees to your Payment Method.
Differing Subscriptions.
We may offer a number of subscription plans, including unique promotional plans with modified Terms and Conditions. Any substantially different terms from those mentioned in these Terms and Conditions will be disclosed at the time of registration or in other communications provided to you. You can find information about your subscription with SocialProof.Online by visiting https://socialproof.online/ and clicking on the Account tab, located within the user Dashboard. We reserve the right to adjust, terminate or otherwise change our offered subscription plans at any time.
Free Trials
Your SocialProof.Online subscription may start with a free trial. The free trial period of your subscription runs for 14 days, or as otherwise specified during the registration process. For combinations with other promotions, restrictions may apply. SocialProof.Online reserves the right, in its absolute discretion, to determine your free trial eligibility. We will begin charging your Payment Method for monthly subscription fees at the end of the free trial period of your subscription unless you terminate before the end of the free trial period. To view the specific details of your subscription, including monthly subscription price and end date of your free trial period, visit https://socialproof.online/ and click on the Account tab, located within the user Dashboard. We may authorise your Payment Method through various methods, including authorising it up to approximately one month or year of service as soon as you register. You will not receive a notice from us that your free trial period has ended or that the paying portion of your subscription has begun. CLICK THE "DASHBOARD > ACCOUNTS " TAB WHILE LOGGED INTO https://socialproof.online/ TO TERMINATE ANY SUBSCRIPTIONS. If you are unable to locate them, contact us at support@socialproof.online. We will continue to charge your Payment Method on a monthly or yearly basis for your subscription fee until you cancel.
Billing
Recurring Billing.
By registering for your SocialProof.Online subscription and providing a Payment Method, you grant permission for us to charge you a monthly or yearly subscription fee at the then-current rate, and any other charges you may incur in connection with your use of the SocialProof.Online subscription service to your Payment Method. You accept that the amount charged each month or year may differ from month to month or year to year for reasons that may include differing amounts due to promotional offers, including redemption codes and promotional code redemption, and/or upgrading, downgrading or adding or changing a plan, and you grant permission to us to charge your Payment Method for such varying amounts, which may be billed monthly or yearly in one or more charges.
Price Changes.
We reserve the right to change pricing for our software or any components thereof in any manner and at any time as we may determine in our sole and absolute discretion. Except as otherwise expressly provided for in these Terms and Conditions, any price changes to your service will begin after prior email notice is sent to you.
Billing Cycle.
The subscription price for our software will be charged at the beginning of the paying portion of your subscription and each month thereafter unless and until you cancel your subscription. We automatically bill your Payment Method each month or year on the calendar day which corresponds to the commencement of your paying subscription. We reserve the right to change the timing of our billing, in particular, as mentioned below if your Payment Method has not successfully settled. We may authorise your Payment Method in anticipation of membership or service-related charges. In the event your paying subscription began on a day not contained in a given month, we may bill your Payment Method on a day in the relevant month or such other day as we deem appropriate. For example, if you began your SocialProof.Online subscription or began paying on January 31st, your next payment date is likely to be February 28th, and your Payment Method would be charged on that date. Your renewal date may change due to changes in your Subscription. Log into your account on SocialProof.Online and click on the Account tab to see the start date for your next billing renewal period. As used in these Terms and Conditions, "billing" shall indicate a charge, debit or other payment clearance, as applicable, against your Payment Method. Unless otherwise mentioned differently, month, monthly, yearly, and annually refers to your billing cycle.
No Refunds.
Payments are non-refundable and there are no refunds or credits given for unused subscription periods. After any cancellation, you will continue to be granted access to the software through to the end of your current billing period. At any time, and for any reason, we may provide a refund, discount, or other consideration to some or all of our members. The amount and form of such credits, and the decision to provide them, are at our sole and absolute discretion.
Payment Methods.
You may change or update your Payment Method details by visiting https://socialproof.online/ and accessing the Payments tab within your user Dashboard. If a payment is not successfully settled, due to expiration, insufficient funds, or otherwise, and you do not update your Payment Method information or terminate your account (see, "Termination" below), you remain responsible for any uncollected amounts and authorise us to continue charging the Payment Method, as it may be updated. This may result in a change to your payment billing dates. For certain Payment Methods, the issuer of your Payment Method may charge you a foreign transaction fee or other charges. Check the details with your Payment Method service provider.
Termination.
You may terminate or cancel your SocialProof.Online membership at any time and you will continue to have access to the SocialProof.Online subscription service to the end of your current monthly or yearly billing period. We do not offer refunds or credits for and partial or unused subscription periods - . To cancel, visit https://socialproof.online/ and access the user Dashboard. Find your Subscription and Click on "Cancel Subscription". If you cancel your subscription, your subscription will automatically cancel at the end of your current billing period. To see when your account will officially finish, visit https://socialproof.online/ and access the Account tab within your Dashboard.
Privacy
Our Privacy Policy, located at https://socialproof.online/page/Privacy-Policy or such other URL as we may provide from time to time (the "Privacy Policy") describes the collection, use, and sharing of certain information that may be provided in connection with your use of the Service as well as information that may be provided by users of any website or mobile application owned or operated by you in which the Service is integrated (an "Integrated Website"). By using the Software, you recognize and accept that information submitted or collected through the use of the Software or an Integrated Website will be handled and used in accordance with the Privacy Policy and these Terms and Conditions and may be processed in a country where it was collected, as well as in countries where privacy laws may be less stringent, including Australia. To the extent personal information is provided about a named person or entity through the use of the Service or an Integrated Website, you represent that you have obtained the necessary consents of the respective data subjects under all applicable laws for the use of such data inline with these Terms and Conditions and the Privacy Policy and accept that you will not submit or permit any information to be submitted through the Software or an Integrated Website without such consent.
Data Collected
We collect anonymous data from every visitor of the Website to monitor traffic and fix bugs. For example, we collect information like web requests, the data sent in response to such requests, the Internet Protocol address (also called IP address, this one is a partial IP address, anonymized and encrypted), the browser type, the browser language, and a timestamp for the request. We use cookies and local storage to store session information for your convenience. You can block or delete cookies and still be able to use Social Proof Online. In order to take advantage of certain features of the Website, you may also choose to provide us with other personal information to utilize these features. Minors and children should not use Social Proof Online. By using the Website, you represent that you have the legal capacity to enter into a binding agreement.
Use of the Data
We only use your personal information to provide you the Social Proof Online services or to communicate with you about the services or the Website. We employ industry-standard techniques to protect against unauthorised access of data about you that we store, including personal information. We do not share personal information you have provided to us without your consent, unless: doing so is appropriate to carry out your own request; it is legally required; we believe it’s needed to detect, prevent or address fraud, security or technical issues; otherwise protect our property, legal rights, or that of others. Social Proof Online is operated from Australia. If you are visiting the Website from outside Australia, you agree to any processing of any personal information you provide us according to this policy.
Social Proof Online may contact you, by email or other means. For example, Social Proof Online may send you promotional emails relating to Social Proof Online or other third parties Social Proof Online feels you would be interested in or communicate with you about your use of the Social Proof Online website. Social Proof Online may also use technology to alert us via a confirmation email when you open an email from us. You can modify your email notification preferences by clicking the appropriate link included in the footer of email notifications. If you do not want to receive email from Social Proof Online, please opt-out of receiving emails at the bottom of any Social Proof Online emails.
Indemnification
You agree to defend, indemnify and hold harmless Social Proof Online and its subsidiaries, agents, licensors, managers and other parent and affiliated companies, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney’s fees) arising from: (a) your use of and access to the Service, including any data or content transmitted or received by you; (b) your violation of any term of this Agreement, including without limitation your breach of any of the representations and warranties above; (c) your violation of any third-party right, including without limitation any right of privacy or Intellectual Property Rights; (d) your violation of any applicable law, rule or regulation; (e) User Content or any content that is submitted via your User Account including without limitation misleading, false, or inaccurate information; (f) your willful misconduct; or (g) any other party’s access and use of the Service with your unique username, password or other appropriate security code.
Disclaimer of Warranty
We do not guarantee, represent or warrant that your use of our service will be uninterrupted, timely, secure or error-free. We do not warrant that the results that may be obtained from the use of the service will be accurate or reliable. You agree that from time to time we may remove the service for indefinite periods of time or cancel the service at any time, without notice to you.
In no case shall Social Proof Online, its associated companies our directors, officers, employees, affiliates, agents, contractors, interns, suppliers, service providers or licensors be liable for any injury, loss, claim, or any direct, indirect, incidental, punitive, special, or consequential damages of any kind, including, without limitation lost profits, lost revenue, lost savings, loss of data, replacement costs, or any similar damages, whether based in contract, tort (including negligence), strict liability or otherwise, arising from your use of any of the service or any products procured using the service, or for any other claim related in any way to your use of the service or any product, including, but not limited to, any errors or omissions in any content, or any loss or damage of any kind incurred as a result of the use of the service or any content (or product) posted, transmitted, or otherwise made available via the service, even if advised of their possibility.
Limitation of Liability
To the maximum extent not prohibited by applicable law, in no event will Social Proof Online or its associated companies’ be liable for any loss of use, lost or inaccurate data, interruption of business, lost profits, costs of delay, reputational harm, or any indirect, special, incidental, cover, reliance or consequential damages of any kind, however caused, even if informed in advance of the possibility of such damages. In no event will Social Proof Online or its associated companies’ total liability exceed in aggregate the amount actually paid or payable by the client to the company for the service in the twelve (12) months preceding the claim. Notwithstanding the foregoing, none of the limitations in this section excludes either party’s liability for fraud or for death or personal injury to the extent caused by a party’s negligence. In addition, the laws in some jurisdictions may not allow some of the limitations of liability in this section. If any of these laws is found to apply to this agreement, this section shall apply to the maximum extent not prohibited by such law. Each party acknowledges and agrees that this section is a fundamental basis of the bargain and a reasonable allocation of risk between the parties and will survive and apply to any claims arising out of or related to this agreement, any company technology or any related services, regardless of the theory of liability (contract, tort, strict liability or otherwise), even if any limited remedy in this agreement is found to have failed of its essential purpose.
Governing Law
You agree that the laws of Australia, excluding its conflicts-of-law rules, shall govern these Terms. The Convention on International Sale of Goods will not apply. Please note that your use of the Service may be subject to other local, state, national, and international laws. You expressly agree that exclusive jurisdiction for any claim or dispute with Social Proof Online or its associated companies’ or relating in any way to your use of the Service resides solely in the competent courts in Australia. Where these laws prevent the application of any part of these Terms, such laws will prevail to the extent mandated by them.
Changes
There may be information on the Social Proof Online website that contains typographical mistakes, inaccuracies or omissions, including pricing, descriptions, functions and various other information. We reserve the right, at our sole discretion, to correct, modify or replace any section of these Terms and Conditions at any time. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Software after those revisions become effective, you agree to be bound by the revised terms.
